1. Acceptance of Terms

By downloading, accessing, or using the Meelo mobile application or any related services (collectively, the "Service"), you agree to be bound by these Terms of Use and End User License Agreement ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and FeedMee, Inc. (dba Meelo) ("Meelo," "we," "our," or "us") only. Apple Inc. is not a party to these Terms and has no obligation or liability whatsoever with respect to the Service or these Terms. Your continued use of the Service following any updates to these Terms constitutes acceptance of the revised Terms.

2. License Grant and Restrictions

Subject to your compliance with these Terms, Meelo grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Service solely on Apple-branded devices that you own or control, and solely for your personal, non-commercial use. You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service or any content within it. You may not distribute or make the Service available over a network where it could be used by multiple devices simultaneously. If you sell or transfer your Apple device to a third party, you must remove the Service from that device prior to doing so. All rights not expressly granted herein are reserved by Meelo.

3. Eligibility

The Service is intended solely for individuals 18 years of age or older. By using the Service, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into a binding agreement, and that your use of the Service complies with all applicable laws and regulations. We reserve the right to terminate your account immediately and without notice if we determine or have reason to believe you do not meet these eligibility requirements.

4. Export Compliance and Sanctions

By using the Service, you represent and warrant that you are not located in a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a terrorist-supporting country, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control laws and regulations in connection with your use of the Service.

5. Beta Product Disclaimer

THE SERVICE IS CURRENTLY PROVIDED IN BETA FORM. This means the Service is still under active development and is made available for testing and feedback purposes. As a beta user, you acknowledge and agree that the Service may contain bugs, errors, inaccuracies, and instabilities. Features may change, be removed, or behave unexpectedly at any time without notice. The Service may experience downtime, interruptions, or data loss. Meelo makes no representations or warranties regarding the reliability, completeness, or fitness of the Service during this beta period. Your use of the Service during beta is at your sole risk. Meelo expressly disclaims any liability arising from your use of or reliance on a beta-stage product.

6. Assumption of Risk

YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF THE SERVICE. This includes but is not limited to risks arising from the use of artificial intelligence-generated content, the beta-stage nature of the Service, reliance on any recommendations or suggestions generated by the Service, food or dietary decisions made based on AI outputs, transactions facilitated through third-party integrations, and any interruption, error, or data loss experienced during use. Your use of the Service is entirely voluntary and at your own risk.

7. AI-Generated Content — Critical Disclaimer

THE SERVICE USES ARTIFICIAL INTELLIGENCE TO GENERATE SUGGESTIONS, RECOMMENDATIONS, AND CONTENT. YOU MUST READ AND UNDERSTAND THIS SECTION BEFORE USING THE SERVICE.

Meelo's AI is designed to assist with meal planning, grocery management, household organization, and related lifestyle tasks. However, you expressly acknowledge and agree to the following:

AI outputs are not professional advice. Nothing generated by Meelo's AI constitutes medical, nutritional, dietary, clinical, therapeutic, legal, financial, or any other form of professional advice. AI outputs are informational and general in nature only and are not a substitute for consultation with a licensed professional.

AI outputs may be inaccurate. Artificial intelligence systems, including Meelo's, can and do produce outputs that are incomplete, incorrect, outdated, or inappropriate for your specific circumstances. Meelo does not guarantee the accuracy, relevance, or suitability of any AI-generated content.

You are responsible for your own decisions. Any action you take based on content generated by Meelo's AI — including but not limited to food choices, dietary changes, grocery purchases, or health-related decisions — is taken entirely at your own risk. Meelo is not responsible for any outcome, harm, or consequence resulting from your reliance on AI-generated content.

Consult a professional. For anything related to your health, medical condition, nutritional needs, dietary restrictions, allergies, chronic illness, pregnancy, or any other health or wellness matter, you should always consult a qualified and licensed healthcare provider, registered dietitian, nutritionist, or other relevant professional. Do not substitute Meelo's AI recommendations for professional medical or nutritional guidance.

Allergen and dietary restriction awareness. Meelo's AI may suggest foods or ingredients that could conflict with your dietary restrictions, allergies, intolerances, or medical conditions. You are solely responsible for verifying the suitability of any food or ingredient for your personal health needs before consuming or purchasing it. Meelo expressly disclaims all liability for any adverse reaction, illness, injury, or harm resulting from food or ingredient suggestions made by the Service.

8. No Medical or Nutritional Advice

Meelo is not a healthcare provider, registered dietitian, nutritionist, therapist, or licensed professional of any kind. The Service does not diagnose, treat, cure, or prevent any disease, condition, or health issue. Nothing in the Service should be interpreted as a clinical recommendation or medical opinion. If you have or suspect you have a medical condition, dietary restriction, food allergy, or other health concern, consult your physician or a qualified healthcare professional before making any changes to your diet, lifestyle, or health routine based on content from the Service.

9. SMS Communications and TCPA Consent

By creating an account and providing your phone number, you expressly consent to receive SMS text messages from Meelo, including messages that are core to the functionality of the Service such as AI-generated recommendations, reminders, order updates, and other operational communications. You acknowledge that standard message and data rates may apply. You may opt out of non-essential SMS communications at any time by contacting us at support@meeloai.com, though opting out of core functional SMS messages may limit or prevent your ability to use the Service. Meelo complies with the Telephone Consumer Protection Act (TCPA) and all applicable federal and state SMS regulations.

10. Beta Feedback and Data Use

During the beta period, your use of the Service, including interactions with the AI, feature usage patterns, feedback submitted, and behavioral data, may be used by Meelo to improve, train, and develop the Service and its underlying AI models. By using the Service during beta, you grant Meelo a perpetual, irrevocable, royalty-free license to use anonymized and aggregated data derived from your use of the Service for these purposes. No personally identifiable information will be used for AI training without your explicit consent.

11. Third-Party Services and Integrations

The Service integrates with third-party platforms and service providers to facilitate features such as grocery ordering, food delivery, and voice processing. These third-party services are governed by their own terms of use and privacy policies, which you are independently responsible for reviewing and accepting. Meelo does not control third-party services and is not responsible for their availability, accuracy, pricing, fulfillment, conduct, or any harm arising from your use of them. Any transaction you complete through a third-party integration is solely between you and that third party. Meelo is not a party to such transactions and bears no liability for their outcome.

12. User Responsibilities

By using the Service, you agree to provide accurate and complete information during account registration and to keep your account information current. You agree not to share your account credentials with any other person. You agree not to use the Service for any unlawful, harmful, or fraudulent purpose. You agree not to attempt to reverse engineer, decompile, or otherwise access the underlying technology of the Service. You agree not to transmit any content that is harmful, offensive, defamatory, or in violation of any applicable law. You are solely responsible for all activity that occurs under your account.

13. Intellectual Property

All content, technology, branding, design, software, algorithms, AI models, and other materials comprising or included in the Service are the exclusive property of FeedMee, Inc. or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, license, or interest in Meelo's intellectual property beyond the limited license granted in Section 2. You may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Service without our prior written consent. In the event of any third-party claim that the Service or your use of it infringes a third party's intellectual property rights, Meelo, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim.

14. User-Generated Content

To the extent you submit content to the Service, including preferences, feedback, messages, or other inputs, you grant Meelo a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and incorporate such content for purposes of operating, improving, and developing the Service. You represent that you own or have the right to submit any content you provide and that such content does not violate the rights of any third party.

15. Maintenance, Support, and Warranty Responsibility

Meelo, not Apple, is solely responsible for providing maintenance and support services with respect to the Service. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Service. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the Service, if any, to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Service. All other warranty claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Meelo's sole responsibility.

16. Product Liability and Claims

Meelo, not Apple, is responsible for addressing any claims by you or any third party relating to the Service or your possession and use of the Service, including but not limited to product liability claims, any claim that the Service fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation. Apple is not responsible for any claims arising from your use of the Service.

17. Apple as Third-Party Beneficiary

You acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEELO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. MEELO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MEELO DOES NOT WARRANT THAT ANY INFORMATION OR CONTENT PROVIDED THROUGH THE SERVICE IS ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEELO, ITS PARENT COMPANY, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, HEALTH OUTCOMES, PERSONAL INJURY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY AI-GENERATED CONTENT, ANY THIRD-PARTY INTEGRATION, OR ANY TRANSACTION FACILITATED THROUGH THE SERVICE, EVEN IF MEELO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MEELO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MEELO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

20. Force Majeure

Meelo shall not be liable for any failure or delay in performance of the Service arising out of or related to causes beyond Meelo's reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, third-party service outages, internet infrastructure failures, power failures, or any other event outside Meelo's reasonable control. In such events, Meelo's obligations will be suspended for the duration of the force majeure event.

21. Indemnification

You agree to indemnify, defend, and hold harmless Meelo, FeedMee, Inc., and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your reliance on AI-generated content, your violation of any third-party rights, your violation of any applicable law or regulation, or any harm caused by content you submit to the Service.

22. Termination

Meelo reserves the right to suspend or terminate your access to the Service at any time, for any reason, with or without notice, including but not limited to violation of these Terms, conduct that we determine in our sole discretion to be harmful to other users or to Meelo, or discontinuation of the beta program. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 6, 7, 8, 13, 18, 19, 21, and 23.

23. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be subject to informal resolution by contacting us at support@meeloai.com. If informal resolution fails, disputes shall be resolved through binding individual arbitration administered in Los Angeles County, California, in accordance with the rules of the American Arbitration Association, except where prohibited by applicable law. To the extent arbitration is not permitted under applicable California law for a particular claim, such claim shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in such courts. You waive any right to participate in a class action lawsuit or class-wide arbitration to the fullest extent permitted by law.

24. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via the app or SMS. Your continued use of the Service following notification of changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

25. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

26. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Meelo with respect to the Service and supersede all prior agreements, understandings, and representations relating to the same subject matter.
